These Terms and conditions (“Terms”) are between you and Notable Consulting LLC of California (“we,” “us,” or “our”). They concern the Mobli nonprofit software platform and its website (the “Services”).
1. Acceptance of Terms
By accessing or using the Services, you agree to be bound by these Terms and our Privacy policy. If you do not agree, do not use the Services. If you are using the Services on behalf of a nonprofit or organization, you represent that you have authority to bind that organization to these Terms.
2. Service Description
Mobli is being prepared for nonprofit teams working with supporters, fundraising and community activity. Local product source supports contact and household records, recorded giving, transaction review, lists and reporting. Available services depend on the organization’s enabled setup and early-access arrangements.
We reserve the right to modify, add or discontinue features with reasonable notice.
Review before publication: Confirm the contracted service scope and supported modules. The source feature catalog is not a guarantee of Mobli deployment or access.
3. Accounts & Registration
Review before publication: The source proposes a minimum age of 13 with parental consent under 18. This threshold is retained below only as a proposed clause; Mobli eligibility and handling of minors need explicit approval.
- You must provide accurate and complete information when creating an account
- You are responsible for maintaining the confidentiality of your login credentials
- You are responsible for all activity that occurs under your account
- You must notify us immediately of any unauthorized use of your account
- You must be at least 13 years old to create an account. If you are under 18, you must have parental or guardian consent
- Organization administrators are responsible for managing user roles and permissions within their organization
4. Subscriptions & Billing
Review before publication: The source assumes Stripe recurring monthly/annual billing. Confirm the actual checkout, billing cadence, optional Pro offer, tax treatment, cancellation and refund process before adopting these clauses.
- Proposed: paid subscriptions, if offered, are billed on the cadence disclosed at purchase.
- Proposed: cancellation takes effect at the end of the current billing period.
- Proposed: pricing changes require 30 days’ notice.
- Proposed: refunds are considered case by case at our discretion, subject to applicable law.
5. AI Features
Review before publication: Confirm provider contracts and the data sent for text, media and voice features. This draft makes no promise about model training, retention or call recording.
For AI features made available to you, the proposed terms are:
- AI outputs are assistive, not authoritative. AI-generated content (text, images, recommendations) should be reviewed by a human before publishing, sending, or acting upon
- No guarantee of accuracy. AI features may produce inaccurate, incomplete, or inappropriate content. You are solely responsible for reviewing and approving AI-generated outputs
- No guarantee of availability. AI features may depend on third-party providers and may be temporarily unavailable due to provider outages, rate limits, or content policy restrictions
- Your prompts are processed by third parties. When you use AI features, your prompts and conversation context may be sent to the providers identified for that feature. The provider list and data flow require confirmation before launch. See our Privacy policy for details
- Content responsibility is yours. You are responsible for all content you publish using AI-generated outputs, including compliance with copyright, defamation, and other applicable laws
- Provider terms apply. AI-generated images and content may be subject to usage restrictions imposed by the underlying AI providers. You agree not to use AI-generated content in ways that violate those providers’ terms
6. AI Credits
Review before publication: The following credit grants, expiry and refund clauses come from the source terms and remain proposals only. Confirm Mobli creative-token pricing and billing mechanics; do not treat these as an active offer.
- AI features are billed using a pre-paid credit system
- New organizations receive an initial grant of free credits
- Additional credits may be purchased in packs; purchased credits never expire
- Subscribers receive monthly credits that expire at the end of each billing cycle
- Credits are non-refundable and non-transferable
- Credit consumption rates are based on the AI model and operation used, and may be adjusted with notice
7. Donation & Payment Processing
Review before publication: Confirm merchant-of-record allocation, supported processors, fees and receipting responsibilities. Processor names below are retained source proposals, not confirmation of a live Mobli integration.
Nonprofit organizations may use the Services to accept donations and payments from their members and supporters. By using these features:
- The nonprofit organization is the merchant of record for all donations and payments collected through its pages
- Notable Consulting LLC facilitates payment processing through Stripe and/or Square but is not a party to the transaction between the organization and its donors
- Nonprofit organizations are responsible for their own tax-exempt status, donation receipting, and compliance with applicable tax and fundraising laws
- Any platform fees, optional tips and payment processing charges must be disclosed before payment. The source no-platform-fee statement has not been adopted for Mobli
- Giving statements and tax receipts generated by the platform are provided as a convenience; organizations are responsible for verifying their accuracy
8. Your Content & Data
Review before publication: Confirm export scope and support procedures. Available product exports do not establish unrestricted export of all data at any time.
- You retain ownership. Nonprofit organizations retain all rights to their data, including contacts, content, media, website content, and other materials uploaded to the Services
- License to us. You grant Notable Consulting LLC a limited, non-exclusive, worldwide license to host, store, process, display, and transmit your content solely for the purpose of providing the Services
- Public content. Content you make publicly available (organization websites, giving pages, event pages, group hubs, fundraiser pages, volunteer sign-ups, store pages, membership portals) is your responsibility. You represent that you have the right to publish such content
- Data export. You may export your data at any time through available export features or by contacting support
- Backup. You are responsible for maintaining your own copies of critical data. The backup schedule and recovery commitments require confirmation
9. Acceptable Use
You agree to use the Services only for lawful purposes related to nonprofit operations. You may not:
- Use the Services for any illegal, fraudulent, or malicious purpose
- Upload or distribute content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
- Attempt to gain unauthorized access to other accounts or systems
- Use automated tools (bots, scrapers, spiders) to access the Services without written permission
- Interfere with or disrupt the Services or their underlying infrastructure
- Use AI features to generate content that violates applicable laws or AI provider terms of service
- Resell, sublicense, or provide the Services to third parties without authorization
- Impersonate another person or entity
- Circumvent or attempt to circumvent security measures
We reserve the right to suspend or terminate accounts that violate these terms, at our sole discretion.
10. Communications Compliance
Nonprofit organizations using our email and SMS features are responsible for compliance with applicable communications laws, including:
- CAN-SPAM Act — All bulk email must include a functioning unsubscribe mechanism, accurate sender information, and a valid physical address
- TCPA — SMS messages require prior express consent from recipients. Do not send unsolicited text messages
- GDPR — If communicating with EU/EEA residents, obtain appropriate consent and honor data subject requests
Where the Services provide unsubscribe handling or opt-out mechanisms, you must not circumvent or disable these features.
11. Data Processing
Review before publication: Controller and processor roles below are proposed for organization-managed data. Confirm the actual responsibilities, any separate direct-to-user processing and the data processing agreement.
When nonprofit organizations use the Services to manage member data:
- The nonprofit organization is the data controller for its member and donor data
- Notable Consulting LLC acts as a data processor, processing data on the organization’s behalf and according to its instructions
- Nonprofit organizations are responsible for maintaining their own privacy policies and obtaining necessary consents from their members
- We process your data only as necessary to provide the Services and as described in our Privacy policy
12. Intellectual Property
The Services, including all software, design, text, graphics, logos, and other content created by Notable Consulting LLC, are protected by intellectual property laws and remain the property of Notable Consulting LLC. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose, subject to these Terms.
You may not copy, modify, distribute, sell, or create derivative works based on our proprietary content without our prior written consent.
13. Third-Party Services
Your use of enabled third-party services may be subject to their terms and policies. We are not responsible for the availability, accuracy or practices of third-party services.
Review before publication: Confirm the actual provider list and contractual relationships. Source mentions of Stripe, Square, Twilio, OpenAI, Google, MinistrySafe and Unsplash are not adopted as an enabled Mobli integration list.
14. Warranty Disclaimer
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. AI-GENERATED CONTENT IS PROVIDED WITHOUT WARRANTY AS TO ACCURACY, COMPLETENESS, OR SUITABILITY FOR ANY PURPOSE.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Notable Consulting LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
16. Indemnification
You agree to defend, indemnify, and hold harmless Notable Consulting LLC and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any third-party right, including intellectual property or privacy rights
- Content you upload, publish, or distribute through the Services
- Your use of AI-generated content
17. Termination
Review before publication: The source 30-day export period below is a proposed obligation, not a verified operational commitment. Confirm export access and deletion timing together with the privacy policy.
- You may stop using the Services and close your account at any time by contacting support
- We may suspend or terminate your access at any time for violation of these Terms, with or without notice
- Upon termination, your right to use the Services ceases immediately
- We will make your data available for export for a reasonable period (30 days) after termination, after which it may be deleted
- Sections regarding intellectual property, limitation of liability, indemnification, and governing law survive termination
18. Governing Law
Review before publication: The source Ohio law, Ohio courts and one-year claims limit are preserved below for legal review. The entity’s California location does not authorize changing these clauses. No arbitration clause has been added.
These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Ohio.
You agree that any cause of action arising out of or related to the Services must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred.
19. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
Entire Agreement
These Terms, together with the Privacy policy and any other policies referenced herein, constitute the entire agreement between you and Notable Consulting LLC regarding the Services. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
